CBRE Group
Weinhold Legal advised CBRE Group, a leading global commercial real estate services firm, in its acquisition of 100% of IMPACT-CORTI, a firm specialising in property management in the Czech Republic and Slovakia. Weinhold Legal provided the full range of acquisition services to CBRE including legal due diligence and negotiating and completing all acquisition and related contracts. Weinhold Legal assisted the CBRE Group with regard to a merger with the acquired company and IMPACT-CORTI’s four subsidiaries. The merger of all companies was registered in a one-step process. Our legal services included, inter alia, preparation of comprehensive legal documentation and representation of the participating companies in the registration proceedings, as well as representation of the companies at the General Meeting. Weinhold Legal assisted CBRE with the Czech and Slovak aspects of a worldwide acquisition of a division of Johnson Controls.
Penta Investments
Weinhold Legal advised Penta Investments on leasing matters connected with its ground-breaking Florentinum project in Prague 1, a large city centre office and retail development.
Palais Lobkowicz (Federal Republic of Germany)
Weinhold Legal advised Embassy of the Federal Republic of Germany on legal matters connected with acquisition of Palais Lobkowicz in Malá Strana, Prague, a historic building built in the 18th century with special importance for Germany, which is used by the Embassy as its main premises. Following negotiations the parties agreed instead of a transfer on a long-term lease of the building by Germany.
A large US bank
Weinhold Legal provided full legal services to one of the largest US banks in its lease of new Czech headquarters in Prague 5 from the developer Avestus (formerly Quinlan Private Golub), including office retail and storage premises and ongoing support. Our advice included negotiating on behalf of the Bank three separate lease and future lease agreements and support on technical construction and fit out issues. We have also been instructed in respect of a lease of the bank’s new branch on Brno, again providing full legal support in negotiating and completing the lease.
CEFC China Energy Company Limited
Weinhold Legal provided legal services to CEFC China Energy Company Limited in connection with the acquisition of a company owning the Florentinum office and retail development building, the biggest business hub in central Prague, opened in January 2014, from Penta Group. Weinhold Legal’s services included due diligence and advice on all contractual documentation. The purchase price was not disclosed by the parties, however, the media reported the deal value exceeded EUR 283 million and represented the largest real estate transaction in the Czech Republic by value in 2016.
MAN Truck & Bus
Weinhold Legal advised MAN Truck & Bus, a top-ranking international supplier of commercial vehicles, on legal matters connected with the acquisition of a site for construction of a new service facility. Our work included due diligence, preparation of the contractual documentation with the seller, review of the contract with the agent and representation in negotiations. In addition, we advised MAN Truck & Bus on matters connected with contracts with authorised service partners and dealers, in negotiations with them and in contractual matters with the parties of leasing agreements.
