Zbyšek Kordač is an attotney-at-law at Weinhold Legal who joined the firm in 2006. He primarily focuses on representing clients of Weinhold Legal before courts, in arbitral and insolvency proceedings. He also provides legal advice in a wide range of areas of commercial and civil law.
Zbyšek studied at Charles University Faculty of Law (Mgr. JUDr.), University of San Francisco School of Law (LL.M.). Curently Zbyšek currently teaches out-of-court dispute resolution to foreign students as an externship at the Faculty of Law of Charles University. He was a member of the working group of the Ministry of Justice of the Czech Republic for the preparation of the law on mediation in non-criminal cases and a member of the working group for the amendment of the Arbitration Act.
Zbyšek is an attorney-at-law registered with the Czech Bar Association and an attorney-in-law in California, USA, registered with the State Bar of California (inactive status). Zbyšek is listed on the List of Practitioners of the Vienna International Arbitral Centre and serves as an arbitrator with the Arbitration Court attached to the Economic Chamber of the Czech Republic and the Agricultural Chamber of the Czech Republic. In 2022, the European Commission included Zbyšek on the list of suitable arbitrators for investment disputes. In 2023, Zbyšek has been elected as an arbitrator by the Board of the National Court of Arbitration for Sport. Zbyšek has repeatedly represented the Czech Republic in the UN Commission on International Trade Law working group on arbitration and mediation. Zbyšek speaks fluent English as well as his native Czech.
Anna Bartůňková is an associate partner at Weinhold Legal and joined the firm in 2014. She specialises in labour law as well as in representing clients before courts and at arbitral proceedings. In addition, she provides advice on commercial and civil law. Anna has advised major international and Czech clients.
Anna also publishes professional articles in legal magazines, both in print and on-line mainly in the area of labour law, but also on other topics in the area of private law.
Anna graduated from Charles University in Prague, Faculty of Law in 2005 and later was awarded a Doctor of Laws (JUDr.) degree. During her studies she also spent a semester on a legal study program at Paris Lodron University in Salzburg, Austria. Anna is an attorney at law registered in the List of Attorneys of the Czech Bar Association and member of the ČAK Section for Arbitration. Anna is also an arbitrator registered on the list of arbitrators with the Arbitration Court attached to the Economic Chamber of the Czech Republic and the Agricultural Chamber of the Czech Republic. Apart from Czech, Anna speaks also English and German.

Weinhold Legal has advised French company eureKING on the acquisition of 100% of SCT Cell Manufacturing from PPF Biotech.
SCT Cell Manufacturing is a service and logistics organisation offering cell therapy and viral vector manufacturing services.
eureKING is an investment company (SPAC) with shares traded on the Paris Stock Exchange with ambitions to become a European leader in the biotechnology manufacturing industry.
The transaction structure envisages that PPF Biotech will contribute a portion of its shares to eureKING, thereby acquiring a minority stake.

WEINHOLD LEGAL SUCCESSFULLY REPRESENTES THE CITY OF KLADNO

In its judgment, the Supreme Administrative Court ruled in favour of the Statutory City of Kladno, which was successfully represented by Weinhold Legal, in a dispute concerning transport services on intercity bus routes. This is a unique case in which the court has for the first time laid down clear rules regarding the provision and financing of transport services by the Region and the municipalities in its district.
The court accepted almost all Weinhold Legal’s arguments and overturned the incorrect views of the Central Bohemian Region, including the Region’s view that it has the right to determine the extent to which a municipality will contribute to intercity services.

Zbyšek Kordač, an experienced attorney and arbitration specialist, supported by other members of Weinhold Legal law firm (Martin Lukáš and Daniel Kinkor), successfully represented the client in arbitration proceedings before the International Arbitration Court of the Austrian Federal Economic Chamber in Vienna (VIAC) against RCS &RDS S.A., a company belonging to a major Romanian group operating in the telecommunications sector in several countries.
In November 2022, the arbitral panel’s award granted our client claims in excess of CZK 155 million arising in connection with a major international M&A transaction in the telecommunications sector.

Weinhold Legal awarded in the Impact Deal of the Year category of the Czech Venture Capital Awards 2022

At the Czech Venture Capital Awards 2022, we were delighted to receive the Impact Deal of the Year award for the Deafcom transaction (Tilia Impact Ventures). Deafcom addresses the problem of over 7,5 million deaf people who cannot get around without a sign language interpreter, as Deafcom is behind the development of software to provide online interpretation and transcription of the spoken word. The service is also available in Poland, Croatia and Slovakia, in addition to the Czech Republic, where it is used, for example, by Česká spořitelna, Raiffeisenbank and the municipal authorities in Prague.
Michal Przeczek, a member of the transaction team, accepted the award on behalf of Weinhold Legal.

Weinhold Legal advises VIAMILK CZ on its merger with the MLÉKO.CZ cooperative

Weinhold Legal provided comprehensive legal advice in connection with the merger of two major independent agricultural cooperatives, namely the Czech VIAMILK CZ cooperative and the Moravian Morava, a dairy marketing cooperative, with several hundred members, mostly other legal entities. The successor cooperative now operates under the business name MLÉKO.CZ družstvo (www.viamilkcz.cz) and controls one fifth of the Czech milk market.
The successor cooperative now has 322 members (177 from Viamilk and 145 from Moravia), 280 of whom are milk producers and 42 beef and veal producers. Total daily milk production is 1,7 million litres.
This was one of the largest mergers of independent cooperatives on the Czech market, which was also assessed and approved by the Office for the Protection of Competition.

A Weinhold Legal team, led by VC specialist Pav Younis and IP specialist Martin Lukáš advised Resistant AI, a Czech-based software start up, on the latest VC financing round, led by Google Ventures (its first Czech financing) and also involving Index Ventures, Credo and Seedcamp.
The WL team advised on the Czech legal aspects of the financing (being the third on which WL has advised this client) with Pav Younis leading the corporate aspects and Martin Lukáš the IP aspects. Senior associate Jakub Nedoma also participated in the project.
WL continues to advise Resistant AI on a wide variety of issues.

Weinhold Legal provided comprehensive legal advice to GATE4AD on the launch of the web portal http://www.gate4ad.com, which was officially launched into operation on September 1, 2021.
This web portal is the first Czech online platform for the purchase of media space with the ambition to be the first European portal of its kind since the end of this year. Our advice included all issues of media and internet law related to the operation of such a portal.

Weinhold Legal strengthens its team with two new experienced lawyers.
Daša Aradská has strengthened Weinhold Legal’s team in the area of Labour Law, Privacy Law and related subjects. Daša’s arrival in Weinhold Legal is from an international corporation, where she has held the position of Legal Counsel for the Czech and Hungarian branches since 2012. Daša previously worked in a major law firm, specializing in labour law. Daša has long been involved in labour law and consulting for HR professionals across various business sectors. She also has extensive experience with GDPR and compliance issues. Daša graduated from the Faculty of Law of Charles University in Prague. In addition to her native Slovak, Daša speaks Czech, English and has a basic knowledge of German and Hungarian.
Attorney Jakub Nedoma strengthens the team focused on M&A, Litigation and IT Law. Jakub worked at Weinhold Legal from 2012 to 2017. Subsequently, he advised on acquisitions, venture capital and modern technology. From 2018 to 2019, Jakub held the position of M&A and IT/IP expert for a major international company operating in the CEE region. Jakub is a graduate of the Faculty of Law of Charles University in Prague and is an advocate registered with the Czech Bar Association. In addition to his native Czech, Jakub speaks fluent English.

Weinhold Legal provided full legal advice to Chropyňská strojírna, a.s. in its acquisition of a 100% stake in HLS Czech s.r.o., which was part of the HLS Engineering Group. The company offers complete engineering processing in the body sector of the automotive industry.
Chropyňská strojírna, a.s. is a part of the Chropyňská Group concern, which is a major supplier of welding, assembly and transport lines designed primarily for the automotive industry in Central and Eastern Europe.

Weinhold Legal advised Broadview on the Czech aspects of its multi-jurisdictional acquisition of Direct Online Services (DOS), a leading multi-channel e-commerce retailer that provides high quality kitchen components (especially worktops). DOS is headquartered in the United Kingdom and the DOS group employs 270 full time workers. In 2019, DOS’s consolidated sales reached GBP 39 million.
Besides DOS the Broadview portfolio in the field of material technology includes Arpa, Trespa, Formica, Westag and Homapal. This cluster has a globally leading position in the market for surface materials.

Weinhold Legal advises technology security start up Resistant AI

Weinhold Legal advised technology security start-up Resistant AI (formerly Bulletproof.AI) on its recent venture financing round. The co-lead investors are Credo Ventures and Index Ventures, with Seedcamp and angel investors also contributing.
Resistant AI was founded in 2019 by Cognitive Security founder Martin Rehák, together with other ex-Cognitive team members and develops systems to protect AI systems from targeted manipulation, adversarial machine learning attacks and advanced fraud. In its relatively short existence so far, Resistant AI has been engaged by a number of global businesses to advise upon their AI software security systems and to provide world-class solutions. Resistant AI, which has offices in Prague and Brussels, has grown considerably recently and will use its newly raised capital to expand its presence in the US and global software security markets.
A Weinhold Legal team led by partners Pav Younis and Martin Lukáš and assisted by associate David Hlaváček, advised Resistant AI on all aspects of the financing round. Weinhold Legal had already supported Resistant AI in its founding stage. Pav Younis and his team regularly advise technology start-ups on venture capital financing rounds.

Weinhold Legal provided Czech legal assistance to AccorInvest Group S.A. (France), in connection with Czech legal aspects of a multi-jurisdiction project – the acquisition of 85.8% of shares in Orbis S.A, owner and operator of 73 hotels and 14,000 rooms in 6 countries, from Accor S.A. and Accor Polska sp. z o.o. The acquisition will be implemented by way of a public tender offer. The value of the transaction was reported by Accor as EUR 1.06 billion (the tender offer will be launched at a price of PLN 115 per share, corresponding to proceeds for Accor of PLN4.55bn which approximately equals to EUR 1.06bn). After this acquisition, AccorInvest’s portfolio will comprise more than 900 hotels and 135,000 rooms, for a total revenue in excess of EUR 4bn.

Weinhold Legal provided Czech and Slovak legal services to Henry Schein (NASDAQ: HSIC), the world’s largest provider of health care solutions for office-based dental and medical professionals, in relation to the spin-off of its animal health business. Following the spin-off, Covetrus (NASDAQ:CVET) was launched as a newly formed company arising from the combination of two businesses – Henry Schein Animal Health and Vets First Choice. The merger was completed on 7 February, 2019.
Henry Schein informed that as part of the spin-off, it received approximately $1.1 billion in what is expected to be tax-free proceeds. Weinhold Legal provided legal assistance to GZ Media, a.s., the largest producer of vinyl record players in the world, in connection with the acquisition of a majority (67%) stake in the company PB tisk. Pribram-based PB tisk is a Czech leading producer of books and bookbinding. Last year PB tisk’s sales were approximately 285 million CZK and the company had 180 employees. Weinhold Legal provided comprehensive legal advice to the biggest Austrian building contractor PORR in connection with agreements for the transfer of all shares in ALPINE Bau CZ a.s. from PSJ Holding. The Czech-Slovak group Alpine Bau is active in the building and construction sector. Last year’s Alpine Bau sales were approximately CZK 2.5 billion. The company employs around 450 employees. This transaction was reported by media as probably the largest acquisition in the Czech construction market over the last ten years.
PORR made its announcement of the transaction in a press release in which the purchase price was reported as amounting to about EUR 12 million, subject to adjustments based on closing accounts.

ŽPSV a.s.’s turnover last year was over CZK 1.5 billion, generating a profit of CZK 75 million. Weinhold Legal has provided input into the Czech Republic chapter of a multi-jurisdictional study, subsequently the basis for the European Commission’s recently published proposal for a directive to ease the merger, division and relocation of companies within the EU.
The proposal includes new rules for simple mergers and new protective measures for shareholders and creditors. The procedure for cross-border mergers is also amended by the proposal – primarily to include additional protections for members and creditors. The proposal also includes new rules on cross-border conversions (from one EU state to another) and new rules are also introduced for divisions (into two or more entities across borders).

Weinhold Legal provided comprehensive legal advice to the sellers in respect of disposal of shares in the company Princip a.s., the Czech market leader in telematics and a prominent producer of GPS/GPRS fleet management units, to W.A.G payment solutions (Eurowag) – one of the largest European providers of payment solutions for road mobility.
Complex legal services in relation to the transaction included among others advice on transactional structure, corporate restructuring, drafting and negotiating contractual documentation, and closing assistance.

Weinhold Legal celebrates 20th anniversary

Weinhold Legal (WL) celebrated its twentieth anniversary with its clients and business partners at a Garden Party in the magical garden of Velkopřevorský Palace in Malá Strana.
The participants were inspired by the garden wall, which in recent decades has become the Lennon Wall. They left messages and wishes to WL and its lawyers on the LEGAL wall which had been installed in the garden especially for the party.
Daniel Weinhold reminded our guests that the WL team was among the first pioneers of multidisciplinary advisory services provided together with tax, transaction and other EY advisory groups and this concept is still very successful.

Weinhold Legal provided legal services to LKQ Corporation – a leading US distributor of auto parts and accessories – in connection with the acquisition of Rhiag-Inter Auto Parts group from the private equity group Apax Partners. Rhiag-Inter Auto Parts group includes the leading distributors of auto parts in the Czech Republic and Slovakia – ELIT Group and Auto Kelly.
The announced deal value was 1.04 billion euros. Weinhold Legal´s team led by Daniel Weinhold and Dušan Kmoch provided legal services that included Czech and Slovak legal aspects of the transaction, including extensive legal due diligence. K&L Gates advised LKQ Corp. on other aspects of the transaction.
